PURPOSE – SCOPE OF THE GENERAL CONDITIONS OF SALE

The purpose of these general terms of sale is to define the terms and conditions for the online sale of products on the site to customers, as well as the rights and obligations of the parties arising from the online sale of products offered on the site. They determine all the steps necessary to place an order and ensure the follow-up of this order between the parties. By placing an order for a product on the site, the customer acknowledges having read the General Terms and Conditions of Sale and having accepted them without restriction, this acceptance not being in any way conditioned by a handwritten signature from the customer. APPLICABLE LAW – JURISDICTION

These GTC and the contractual relations between the parties are governed by French law. Any dispute arising from the application or interpretation of the GTCs shall fall under the exclusive jurisdiction of the French courts.

PRODUCTS

Product despcription – The products offered for sale are those which appear on the site, on the day of the consultation of the site by the customer, and within the limits of available stocks. The greatest care is taken in the products’s presentation on the site in order to meet the requirements of Article L.111-1 of the Consumer Code. This is why the products are presented by means of an information sheet drawn up with great care and precision by experts in order to allow the most accurate and complete description. However, due to the digital presentation of the products on the Internet, in particular because of the technical limitations of the colour rendering of computer equipment, it is possible that the customer’s perception of the photographic representation of the products and in particular of the colour of the leather shades may not correspond exactly.

Product availability – The Products are offered within the limits of available stocks and any mention of the stock of Products appearing on the site is given as an indication insofar as technically possible updates. In case of unavailability of one of the Products, the Customer will be informed as soon as possible by e-mail of the possible cancellation of his order or the partial delivery of the latter. Consequently, any order for an unavailable product that has been effectively paid for will not give rise to any compensation or indemnity other than the repayment of said product.

VADROUILLE cannot be held responsible in case of stock shortage or unavailability of products for orders not yet accepted by VADROUILLE.

VADROUILLE reserves the right to change the products offered on the site at any time and without notice.

In order to ensure a better quality of service and availability of our Products to all customers of the site, VADROUILLE reserves the right to limit the quantity of products that can be purchased by a customer, in accordance with the provisions applicable in this matter and in particular those of Article L122-1 of the French Consumer Code.

Pricing

The product’s price is firm. The price in force is the one indicated on the pages corresponding to the various products on the site, except for typographical errors. The prices of the products are indicated in euros. These prices take into account the V.A.T. applicable on the day of the order. Second-hand products are taxed at the 20% VAT on margin. Any packaging and delivery costs may be invoiced in addition and, in this case, they will be specified to the customer during the order process. The amount is fixed and inclusive. VADROUILLE reserves the right, which the customer accepts, to modify his prices at any time, without any other formality than to post the modifications on the site. However, these modifications will not affect orders accepted by the site before the entry into force of these modifications, subject to the availability of the products ordered.

ORDERING PROCEDURES

VADROUILLE reserves the right not to accept an order from a customer with whom it is in dispute over a previous order, or if VADROUILLE reasonably believes that the customer has breached these General Terms and Conditions of Sale or has engaged in fraudulent activity, or for any other legitimate reason.

PAYMENT

Unless the server is unavailable, the Customer will be able to pay for his/her order by credit card (Debit card, Visa, Mastercard, and Maestro exclusively) or via the jevadrouille.com site’s integrated purse. The Customer will enter their card number, the expiry date, the name of the cardholder and the visual cryptogram (the last three numbers written on the back of their bank card). Payments by cheque are not accepted. Vadrouille reserves the right to refuse any order or delivery in the event of an existing dispute with the Customer, total or partial non-payment of a previous order by the Customer, or refusal to authorise payment by credit card by banking organisations. The Customer guarantees that he/she has the necessary authorisation to use the method of payment chosen when validating the order. In the event of refusal by the bank, the order will be automatically cancelled. The customer is invited to print out the order summary. Data relating to orders will be recorded and kept in the computer systems of Vadrouille and its partner bank. The information registers of these companies will be considered as proof of all transactions between the parties on the site.

DELIVERY

For all orders confirmed before 10:00 am, from Tuesday to Friday (excluding public holidays), the products ordered will be dispatched the same day. Products are delivered by Mondial Relay or Colissimo within 1 to 6 working days from confirmation of the order by Vadrouille. The carrier is solely responsible for any delay in delivery and, in such a case, the customer will not be entitled to any compensation whatsoever. Delivery charges may be offered for the purchase of products above a certain order value. In all cases, delivery costs are clearly indicated to the customer during the ordering process.

For security reasons, no order may be registered for delivery to a hotel or other accommodation address, a poste restante address, a post office box or a non-fixed address or domicile (i.e., without this list being exhaustive, mobile homes, caravans, campsites and other non-fixed domiciliations) or in a collective place where an address cannot be allocated individually and permanently to a natural or legal person.

The customer is required to pay particular attention to the details provided on the order form, and in particular to the delivery address. If the customer makes a mistake in the delivery address, the parcel will be returned by the carrier marked RAI (Recipient Address Invalid”). In this case, the delivery costs will be deducted from the refund of the order if the customer has not paid for them. If the customer has paid for the delivery costs, they remain payable by the customer.

Customers must check that their order is complete and that the products are in good condition on delivery. Any anomaly concerning the delivery (damaged packages, missing products, late delivery, etc.) must be noted on the delivery receipt presented by the carrier. The customer must also notify jevadrouille.com@gmail.com by e-mail in order to improve the quality of service that may be offered and to proceed with an investigation with the carrier. In the event that the customer has reported a missing product on the delivery receipt, an investigation with the carrier may take up to 21 working days. If the product is found during this period, it will immediately be returned to the delivery address indicated when the order was placed. On the other hand, if the product ordered is not found at the end of this investigation period, VADROUILLE will proceed with the reimbursement of the missing product or, if possible, will proceed at its own expense with a new shipment of the missing product initially ordered by the customer.

Products purchased on the site can only be delivered to mainland France (including Corsica), the Principality of Monaco, Germany, Belgium, Luxembourg, the Netherlands (excluding the Netherlands Antilles and Aruba), Spain (excluding the Canary Islands), Italy, Ireland and Austria (hereinafter the “delivery zone”).

Vadrouille does not accept orders for delivery addresses outside the delivery area.

RIGHT OF WITHDRAWAL

In accordance with the provisions of article L.221-18 of the French Consumer Code, the customer has a period of 14 clear days to return the order in the same condition as it was sent. This period runs from the date of receipt of the order by the customer. All returned products must be in their original packaging. Customers may exercise their right of withdrawal by any written means of their choice or by following the procedure described on the “return a product” page. If the aforementioned conditions are met, Vadrouille will reimburse the customer for all sums paid by the customer for the returned Products, within 14 days following the date on which the right of retraction was exercised, in accordance with article L.221-24 of the French Consumer Code. This reimbursement will be made via the “wallet” interface present in the customer’s profile. Upon receipt, the customer will be able to transfer the amount due to the bank account indicated in his/her profile.

RETURNS AND EXCHANGES POLICY

The cost of returning goods is borne by the consumer. Under the terms of our returns policy, products must be in their original condition, with the original labels, original packaging and delivery note. All returned products are inspected. FORCE MAJEURE

Vadrouille cannot be held responsible for the total or partial non-execution of its obligations, if it is due to the occurrence of an event of force majeure, having an unforeseeable, irrepressible and external character for Vadrouille, as recognised by the jurisprudence of the French courts, making the execution of the contract impossible. In this case, Vadrouille will inform the customer and propose one or more alternative solutions. The occurrence of such an event constitutes a cause for suspension and/or extinction of Vadrouille’s obligations towards the customer, without compensation to the customer.

LIMITATION LIABILITY

Under no circumstances will Vadrouille be held responsible for any damage that does not result from a breach by Vadrouille of one of its obligations.

MEDIATION

The purchaser may have recourse to conventional mediation, in particular with the Commission de la médiation de la consommation (Consumer Mediation Commission) or with existing sectoral mediation bodies, or to any alternative dispute resolution method (conciliation, for example) in the event of a dispute. In accordance with articles L612-1 et seq. and R612-1 et seq. of the French Consumer Code, in the event of failure to submit a claim to the consumer service under the conditions referred to above or in the absence of a satisfactory response, the Customer may submit his dispute with the company by electronic or postal means to a mediator who will attempt, in a completely independent and impartial manner, to bring the parties together with a view to reaching an amicable solution.
